Registration of Agent of Issuer
An Agent of Issuer is required to file the following:
Form U-4
Proof of exams, (Series 63 and one (1) other exam, or just a Series 66).
No waiver will be considered, in any case, except upon written application to the Commissioner.
The statutory fee in the amount of two hundred fifty dollars ($250.00)
Dual registration is prohibited.
No person shall be concurrently registered as
an agent of more than one (1) issuer.
On July 1, 1993, the Act (§32-3-305) was amended requiring that each
registration statement filed under this chapter registering investment company
shares shall cover only one class, series or portfolio of investment company
shares. Therefore, a separate Agent of Issuer registration is required for each
security (series, portfolio or class) regardless of whether the securities are
found under the same registration statement or not. It is recommended (but not
required) that an Issuer who has multiple securities or multiple agents to offer
and/or sell should register as a broker/dealer.
Each Agent of Issuer registration expires December 31st, annually.
Termination:
Upon termination of an issuer agent registration Form U-5 shall be
filed pursuant to Rule 12.02 of the Administrative Regulation of the
Commissioner of Securities. Failure to comply with this Regulation is a violation of West Virginia Code, and may result in the
issuance of an Adminsitrative Stop Order.
